NOMOS-BANK holds annual General ShareholdersMeeting

An annual General Meeting of Shareholders of NOMOS-BANK took place onJune 27. Its participants decided that the Bank should retain the larger part of its 2007 profit — 4.64 bln Roubles (the total profit according to RAS — 4.7 bln Roubles). Dividends on preferred shares for2007 amounted to 60.5 mln Roubles, the dividends amount per share was 5 Roubles. No dividends were set or paid on common stocks.

stockholders also took a decision to set the overall limit of 250 mln Roubles out of the current year’s profit to be spent on charity, sponsorship, and other non-commercial projects.

The General Meeting approved the Bank’s Annual Report for 2007, balance sheet, and profit and loss account. Deloitte and Touche CIS was again appointed as the Bank’s external auditor.

AGM also elected the Supervisory Board comprising 7 members. A new member, Petr Milev, representing the interests of the Bank’s existing shareholder — the Czech PPF Group, joined 6 other members who sat on the previous Board: A.A.Gudaytis, N.I.Dobrinov, A.Ye.Natalenko, Yu.S.Pilipenko, D.V.Sokolov and I.A.Yuzhanov. Petr Milev’s candidacy was proposed by the Bank’s Supervisory Board, the bank said.
